1. Acceptance of Terms
By accessing or using the Fudi Rewards platform (the "Platform"), you expressly accept these Terms and Conditions (the "Terms"). If you do not agree with them, please do not use the Platform.
These Terms apply to:
- (A) End Users (diners who participate in loyalty programs)
- (B) Restaurants and affiliated businesses that contract Fudi's services
2. Definitions
For purposes of these Terms, the following definitions shall apply:
- Restaurant: Food service business or commercial establishment that contracts Fudi's services to configure and operate loyalty programs.
- End User: Diner or customer who participates in a loyalty program offered by a Restaurant.
- Customer Portal: Digital interface typically accessible via QR code provided by the Restaurant after accumulating or redeeming benefits, or through WhatsApp interaction.
- Loyalty Program: Set of rules, mechanics, and conditions defined by the Restaurant (such as accumulated visits, points, levels or tiers), as well as associated rewards, their validity period, and redemption terms.
- Reward: Benefit, discount, product, or service defined and delivered directly by the Restaurant as part of its Loyalty Program.
- Branch: Individual physical location of a Restaurant, open to the public, with its own operations and service point. If a Restaurant operates in multiple locations, each shall be considered an independent "Branch" for subscription purposes, unless otherwise agreed in writing with Fudi.
3. Nature of Service and Personal Data Processing
3.1 Service description
Fudi provides a technology platform that enables Restaurants to design, implement, and manage loyalty programs for their customers.
Important: The definition of program rules, delivery of rewards, compliance with offered terms, and End User service are the exclusive responsibility of the Restaurant.
3.2 Data processing roles
Regarding End Users' personal data:
- The Restaurant acts as Data Controller.
- Fudi acts as Data Processor, processing data solely on behalf of and under the Restaurant's instructions, in accordance with the applicable Privacy Notice and current data protection legislation.
4. User Accounts, Roles, and Security (Restaurants)
4.1 Users and roles
- Each Restaurant can create multiple user accounts, both at corporate level and per Branch, at no additional cost.
- Available roles are:
- Owner: Only role with authority to manage subscription and billing.
- Administrator: Complete management of settings and programs.
- Manager: Operational supervision of programs.
- Staff: Execution of accumulations and redemptions.
4.2 Account security
Each user is responsible for:
- Maintaining a strong and confidential password.
- All activity performed under their account.
It is the Restaurant's responsibility to:
- Properly manage employee additions, removals, and permissions.
- Revoke access for employees who leave the establishment.
5. Loyalty Programs, Validity, and Effects of Cancellation
5.1 Program configuration
Loyalty Programs can be configured based on:
- Number of visits
- Point accumulation
- Membership levels or tiers
The validity period of rewards, program duration, and participation conditions are determined exclusively by the Restaurant.
5.2 Cancellation by the Restaurant
If the Restaurant cancels its Platform account:
- All active Loyalty Programs will be automatically cancelled.
- Unredeemed rewards that End Users have accumulated will be invalidated.
The Restaurant must timely communicate any program cancellations to its customers.
6. WhatsApp Communications: Opt-in and Preference Management
6.1 Official communication channel
The only supported channel for automated communications with End Users is WhatsApp.
6.2 Utility messages (operational notifications)
To receive notifications about account activity (accumulations, redemptions, expirations), the End User must:
- Provide express consent (opt-in) from the Customer Portal.
- This consent is recorded and stored in Fudi's database as evidence.
6.3 Customer Portal access
End Users can access the Portal via:
- QR code presented by the Restaurant after a loyalty transaction (accumulation or redemption).
- WhatsApp command: Sending the word "MENU" to the official number: +52 1 477 518 6793 (subject to availability).
6.4 Marketing messages
Currently, Fudi does not send marketing messages. Any future implementation of this functionality will require additional and separate consent from the End User.
6.5 Consent evidence
All opt-ins and preference changes by the End User are stored in Fudi's database as evidence of granted consent.
7. End User Information Accessible to the Restaurant
7.1 Dashboard visibility
In the Restaurant's control panel:
- An identifiable list of diners is NOT displayed.
- Only aggregated statistics and trends of loyalty programs are presented.
7.2 Data visible during transactions
The Restaurant can only view:
- The End User's name at the time of accumulating or redeeming points.
- This information is only visible if the End User voluntarily completed their profile (which may optionally include name and age).
7.3 Transaction queries
- The Restaurant can query loyalty transactions only related to its own programs.
- It will never have access to information about the End User's activity at other restaurants.
7.4 Report exports
- The Restaurant can export reports in CSV format.
- Limited use obligation: Any data obtained must be used exclusively for purposes related to loyalty program operations and in accordance with applicable data protection legislation.
8. Reviews Functionality ("Strategic" Plan)
8.1 Feature activation
If the Restaurant contracts the corresponding plan and activates this functionality, End Users can:
- Complete a review form when entering the Customer Portal.
- Regardless of the rating given, a button to leave a review on Google Maps will be displayed (optional).
8.2 WhatsApp notification
If the End User has enabled utility messages via WhatsApp:
- Optionally, a message with the review questionnaire can be sent.
- Include direct access to leave a review on Google Maps.
8.3 Review visibility
- Currently: Reviews captured within Fudi are visible only to the evaluated Restaurant.
- Future: Fudi may enable public restaurant profiles and display reviews publicly. Advance notice will be provided of any changes to this policy.
8.4 Reporting fraudulent reviews
- The Restaurant may report reviews it considers fraudulent or violating these Terms.
- Reviews will not be removed unless determined, at Fudi's discretion, to be fraudulent or in violation of policies.
9. Pricing, Free Trial, Payments, and No-Refund Policy (Restaurants)
9.1 Pricing structure
Prices per Branch (VAT included) are:
- Basic Plan: $699 MXN monthly
- Strategic Plan: $1,399 MXN monthly
9.2 Free trial period
- Duration: 14 days
- No credit card required or automatic charge upon completion
- Allows evaluation of all features of the selected plan
9.3 Renewal and billing
- The subscription automatically renews month-to-month until the Restaurant decides to cancel.
- Charges are made monthly in advance.
9.4 Subscription cancellation
- Cancellation takes effect at the end of the current billing period.
- Before the period ends, the Restaurant can reverse the cancellation and continue with the service.
9.5 No-refund policy
No refunds are granted under any circumstances, including early cancellations or dissatisfaction with the service.
9.6 Taxes applicable outside Mexico
When expanding operations in Latin America:
- Local taxes, withholdings, or charges may apply depending on the Restaurant's jurisdiction.
- The Restaurant is responsible for complying with its tax obligations in its country of operation.
- Fudi will reflect applicable taxes in billing according to current legislation.
10. Prohibited Conduct and Disciplinary Measures
10.1 Misuse of personal data
The following is strictly prohibited:
- Using End User data (including phone number when shared) for purposes unrelated to loyalty program operations.
- Sending non-consented marketing, spam, or communications outside the program context.
- Sharing, selling, transferring, or disclosing End User data to third parties.
10.2 Prohibited technical activities
The following is expressly prohibited:
- Scraping, mass data extraction, or attempts to re-identify information.
- Attempts to compromise the Platform's security.
- Reverse engineering, decompilation, or interference with Platform operations.
- Use of malware, bots, or abusive automation.
- Any violation of WhatsApp usage policies or terms of service.
10.3 Disciplinary measures
Immediate suspension without prior notice:
If Fudi detects or has reasonable grounds to suspect:
- Misuse of personal data
- Violations of these Terms
- Activities that jeopardize Platform or other users' security
Fudi may suspend or cancel the offending user's account and/or the entire Restaurant's account, without prior notice and without any liability.
11. Service Availability, Technical Support, and Modifications
11.1 Nature of service
The Platform is offered "as-is" and according to availability:
- Under a best effort standard
- Without guaranteed Service Level Agreement (SLA)
Fudi does not guarantee uninterrupted or error-free operation.
11.2 Customer support
Technical support and assistance with questions is provided through:

Response times are estimated and do not constitute contractual guarantees.
11.3 Modifications to Terms
- Fudi reserves the right to update these Terms at any time.
- The current version will always be available at: https://fudirewards.com/terminos/
- Continued use of the Platform after publication of changes constitutes acceptance of the new terms.
12. Intellectual Property and Brand Usage
12.1 Ownership
The Platform, its brands, logos, designs, source code, and materials are the exclusive property of Fudi or its licensors.
12.2 License for Restaurant use
The Restaurant is authorized to:
- Use the phrase "Powered by Fudi Rewards" and official logos.
- Solely for the purpose of promoting or communicating its own loyalty programs.
12.3 Express prohibitions
It is prohibited to:
- Present brand usage as if there were a commercial association, sponsorship, or endorsement by Fudi.
- Suggest that Fudi has responsibility for defining, delivering, or fulfilling rewards.
12.4 Restaurant brand usage by Fudi
Fudi may:
- List the Restaurant as a client for marketing purposes, success stories, or promotional materials.
- The Restaurant may request in writing to be excluded from this type of communication.
13. Disputes Regarding Rewards and Loyalty Programs
13.1 Restaurant responsibility
Any controversy, claim, or dispute related to:
- Delivery of rewards
- Quality of products or services offered
- Availability of benefits
- Program conditions or restrictions
Must be resolved directly between the End User and the Restaurant.
13.2 Fudi's role
Fudi acts solely as a technology provider and assumes no responsibility for:
- The design, terms, or conditions of loyalty programs
- Actual delivery of rewards
- Disputes between Restaurants and End Users
14. Limitation of Liability
14.1 Exclusion of damages
To the maximum extent permitted by law, Fudi shall not be liable for:
- Direct, indirect, incidental, special, punitive, or consequential damages
- Loss of revenue, data, business opportunities, or reputation
- Damages arising from use, inability to use, or malfunction of the Platform
- Errors, interruptions, or information loss
14.2 Monetary liability cap
Fudi's total and aggregate liability under these Terms shall be $0 (zero) Mexican pesos.
14.3 Legal exception
Nothing in these Terms is intended to limit liabilities that, under applicable Mexican law, cannot be contractually excluded or limited.
15. Data Retention and Deletion
15.1 Restaurant data
Upon termination of the contractual relationship:
- Restaurant data and program configurations may be preserved for archival, audit, or legal compliance purposes.
- Fudi reserves the right to delete any information at any time, without prior notice.
15.2 End User data
When an End User requests account deletion:
- Their personal information is anonymized to the extent technically possible.
- Aggregated and anonymized records are retained for statistical and legal compliance purposes.
15.3 Retention periods
Specific data retention periods are established in the corresponding Privacy Notice.
16. Governing Law and Jurisdiction
16.1 Applicable legislation
These Terms are governed by and interpreted in accordance with the laws of the United Mexican States.
16.2 Submission to courts
For any controversy, conflict, or claim arising from these Terms or use of the Platform:
The parties expressly submit to the jurisdiction of the competent courts of León, Guanajuato, Mexico, waiving any other jurisdiction that may correspond to them by reason of their present or future domicile.
